AgeWallet™ Client Terms of Service

Effective Date: August 1, 2025

Welcome to AgeWallet™. These Terms of Service (“Terms”) govern your access to and use of the AgeWallet™ website, APIs, SDKs, and all related verification services (“Services”) provided by AgeWallet LLC, a Georgia limited liability company (“AgeWallet”, “we”, “our”, or “us”).

By accessing or using the Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms and all incorporated documents, including the Data Processing Addendum and Privacy Policy. If you do not agree, do not use the Services.

1. SCOPE OF SERVICES

AgeWallet™ provides identity verification, age assurance, and compliance tools for digital platforms, including APIs and OpenID Connect integrations. You may use the Services only for lawful business purposes and only in accordance with these Terms and applicable data protection laws.

We may update or modify the Services at any time to maintain security, improve performance, or comply with legal requirements. Continued use constitutes acceptance of any updates.

2. CLIENT RESPONSIBILITIES

2.1 Legal Compliance

You are solely responsible for ensuring that your use of the Services, and the content or activities conducted on your websites or platforms, comply with all applicable laws and regulations — including but not limited to:

  • Data protection and privacy laws (e.g., GDPR, CCPA, CPRA)

  • Child protection, age-gating, and obscenity laws

  • Intellectual property, fraud, and consumer protection standards

You must ensure that your own privacy policy and data collection practices remain compliant with these laws.

2.2 Age-Restricted Content

Clients integrating AgeWallet™ into adult or age-restricted content platforms must ensure:

  • All content is adequately protected from unauthorized access by minors

  • Age verification results are implemented and enforced prior to granting access

  • All applicable local and international laws governing the display, distribution, and marketing of such content are followed

Failure to maintain compliance may result in immediate suspension or termination of Services.

2.3 Data Retention and TTL

Clients must ensure compliance with all data retention and non-persistence requirements.
AgeWallet™ Services operate with a required time-to-live (TTL) for verification data, meaning verified age sessions and tokens are designed to expire automatically.

You must not store or reuse verification artifacts beyond their intended TTL. Retained data should be limited to what is legally required and promptly deleted thereafter.

2.4 Security Obligations

You are responsible for implementing reasonable security measures within your environment, safeguarding API credentials and tokens, and preventing unauthorized access or misuse of the Services.

3. PROHIBITED USE

You may not:

  • Reverse engineer or modify the Services

  • Use the Services for illegal or deceptive purposes

  • Circumvent technical restrictions or resell the Services without authorization

4. FEES AND PAYMENT

Fees are specified in your Service Order or subscription plan. All payments are due as invoiced and are non-refundable once Services are rendered. Late payments may result in suspension or termination of Services.

5. CONFIDENTIALITY

Each party agrees to protect the other’s confidential information and not disclose it except as required by law. This includes system credentials, verification data, and any non-public business information.

6. INTELLECTUAL PROPERTY

All intellectual property in and to the Services — including software, code, documentation, and trademarks — remains the exclusive property of AgeWallet™. You receive a limited, non-transferable license to use the Services during your active subscription.

7. DISCLAIMERS

The Services are provided “as is” and “as available” without any warranties, express or implied.
AgeWallet™ does not guarantee uninterrupted operation or error-free performance.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • AgeWallet™ shall not be liable for indirect, consequential, or punitive damages

  • Total liability shall not exceed the fees paid in the previous 30 days

9. INDEMNIFICATION

You agree to indemnify and hold harmless AgeWallet™, its officers, employees, and affiliates from any claims, damages, or losses arising from:

  • Your misuse of the Services

  • Violation of laws or third-party rights

  • Distribution of unlawful or age-restricted content to minors

  • Failure to comply with data retention TTLs or privacy requirements

10. DATA PROCESSING

All processing of personal data is governed by the Data Processing Addendum.

In summary:

  • AgeWallet™ acts as a Processor under applicable Data Protection Laws.

  • Clients act as Controllers responsible for lawful collection and use of end-user data.

  • AgeWallet™ retains limited personal data only as necessary for compliance, verification integrity, and audit purposes, in line with non-persistent retention policies.

11. TERM AND TERMINATION

Either party may terminate with thirty (30) days’ written notice.
AgeWallet™ may suspend or terminate access immediately for:

  • Illegal activity

  • Fraud or misuse of the Services

  • Violation of acceptable use or child protection laws

Upon termination, Client data will be deleted or anonymized in accordance with the Data Processing Addendum and applicable law.

12. GOVERNING LAW

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict of law principles.
Any disputes shall be resolved exclusively in the state or federal courts of Fulton County, Georgia.

13. AMENDMENTS

We may modify these Terms or related policies from time to time. Material changes will be communicated to registered Clients. Continued use constitutes acceptance of the updated Terms.

15. ENTIRE AGREEMENT

These Terms, together with the Data Processing Addendum and any executed Service Orders, constitute the entire agreement between you and AgeWallet™.

APPENDIX A — CLIENT COMPLIANCE REQUIREMENTS

  • Implement non-persistent data handling in accordance with AgeWallet TTLs

  • Maintain a lawful basis for all personal data processing

  • Protect minors from exposure to restricted content

  • Use secure API and OIDC configurations

  • Notify AgeWallet™ promptly of any data breach or compliance issue
